Submission Terms & Conditions: I hereby acknowledge and agree that by uploading and submitting certain materials and content, including, but not limited to, photographs, recordings, videos and/or any other material (collectively, “Material”) to the website maintained by and/or on behalf of TDR Brands International (“Producer”), I am granting, and do hereby grant to Producer and its licensees, assignees, parents, subsidiaries, or affiliated entities and each of the respective employees, agents, officers and directors of the foregoing entities (collectively, “Releasees”) the right to use and reuse all content contained in any such Material in connection with the platform and magazine currently entitled, “TDR Magazine or the LIVE WITH TDR the SHOW” (the “Program”) and the development, production, distribution and/or exploitation of the Program and in the advertisements, publicity and promotions for the Program in any and all media now known or hereafter devised, worldwide in perpetuity. By uploading and submitting the Material to Producer’s website, I agree that Producer and the Releasees exclusively own all right, title, and interest (including, without limitation, all copyrights) in and to the Material including, without limitation, the right to edit, alter or modify the Material and to use all or part of the Material and to combine the Material with other content in any and all media now known or hereafter devised worldwide, in perpetuity. I represent and warrant that the Material (specifically including, without limitation, any videotaped material) will be free from any pornographic or graphically violent material, will contain no nudity and will not contain any content that is in violation of any law or infringes upon the rights of any third party. Additionally, by uploading and submitting the Material to Producer’s website, I warrant and represent that I have obtained the consent of anyone appearing in any video and/or photograph in the Material submitted by me and the consent of anyone that may have shot any video and/or taken any photographs in the Material submitted by me for potential inclusion in the Program by Producer. I further warrant and represent that all such persons have consented to the Releasees’ use of any and all such Material in and in connection with the development, production, distribution and/or exploitation of the Program and in the advertisements, publicity and promotions for the Program, in perpetuity, in any and all media, whether now known or hereafter devised, and that the consent of no other person is necessary in connection therewith. I agree that Releasees may use the Material in connection with any promotion, publicity, marketing or advertisement for the Program and/or any sponsor thereof. I grant the rights hereunder whether or not Producer eventually includes the Material in the Program. Producer has no obligation to return the Material to me, to include the Material in the Program, or to produce or exhibit the Program or any episode thereof. I hereby release Releasees from any and all liability arising out the use of the Material. I agree not to make any claim against Releasees as a result of the use of the Material (including, without limitation, any claim that such use invades any right of privacy and/or publicity and/or intellectual property rights) nor will I rescind this release or seek injunctive or other equitable relief in the event of any claim brought arising out of this release or the rights I have granted hereunder. I understand that I will not be paid any money for giving Releasees these rights, or for submitting the Material, the sole consideration for which being the Producers’ consideration of possibly including the Material in the Program, which I acknowledge is good, valuable and sufficient.
